Welcome to Praxis Media & Technology Limited, trading as Praxis Studios. Please read these Terms before using our website or booking a service.

1. Agreement and scope

These Terms of Service govern your use of the Praxis Studios website and your engagement with Praxis Media & Technology Limited for photography, filmmaking, video production, editing, branding, advertising, event production, event management, drone services, training, studio use, equipment rental and related services.

Using the website or requesting a service means you agree to these Terms. A signed proposal, quotation, rental agreement, training registration or other written project agreement may contain additional terms. Where there is a conflict, the more specific written agreement will apply to that engagement.

2. Eligibility and information

You must be at least 18 years old or acting with the authority of a responsible organization to enter into a paid engagement.

Information provided through forms, email, telephone, WhatsApp or the portal must be accurate, complete and current. You must not use the website or our services for an illegal, abusive, deceptive or unauthorized purpose.

3. Quotes, scope and availability

Website prices and rate cards are starting estimates unless expressly stated otherwise. Final fees depend on scope, crew, equipment, duration, travel, permits, locations, usage, deliverables, deadlines and other production requirements.

A submitted enquiry, rental request or preferred date does not create a confirmed booking. Availability and scope must be confirmed by Praxis Studios in writing, and any required deposit or retainer must be received.

Changes to the agreed brief may affect cost, schedule and delivery. We will identify material scope changes before undertaking additional work where reasonably possible.

4. Payments and deposits

Invoices, deposits, retainers and payment milestones will be stated in the applicable quotation or agreement. Unless otherwise agreed, work may be scheduled or commenced only after the required payment is received.

Late payment may delay production, delivery, equipment release or access to final materials. The person making payment confirms that they are authorized to use the selected payment method.

Taxes, bank charges, travel, accommodation, permits, location fees, talent, music licences, specialist suppliers and other third-party expenses may be charged separately where applicable.

5. Cancellations, postponements and refunds

Deposits reserve dates, personnel and resources and may therefore be non-refundable once costs have been incurred or availability has been declined to other clients. Specific cancellation and postponement terms will be stated in the relevant quotation, booking or rental agreement.

Refund requests are reviewed according to the work completed, committed costs, reserved resources and the circumstances of the engagement. Training, rental and event bookings may have separate rescheduling conditions.

Praxis may postpone or cancel where performance becomes unsafe, unlawful or impracticable because of weather, access, non-payment, equipment risk, illness, public restrictions, force majeure or circumstances beyond reasonable control.

6. Client responsibilities

You are responsible for timely approvals, accurate briefs, access to locations, required permissions, releases, schedules, representatives and any materials you agree to provide.

You warrant that client-supplied logos, footage, music, photographs, scripts, trademarks, data and other materials may lawfully be used for the project and do not violate third-party rights.

Delays in feedback, access, approvals or supplied materials may move production and delivery dates.

7. Production, revisions and delivery

Creative work involves professional judgment. References and mood boards communicate direction but do not guarantee an identical result.

Included revision rounds, review method and delivery formats should be confirmed in the quotation. Requests outside the agreed scope or after approval may attract additional fees.

Delivery dates are estimates unless expressly guaranteed in writing. We take reasonable care with client media, but clients should retain independent copies of all irreplaceable source materials. Archive availability is not guaranteed unless a storage arrangement is agreed.

8. Equipment and studio use

Equipment requests remain subject to availability, identity verification, deposits, rental documentation and approval. The renter is responsible for proper use, security and timely return, and may be liable for loss, theft, damage, late return or unauthorized use under the rental agreement.

You are responsible for equipment logistics (pickup & return) unless a logistics service is expressly included in your booking.

Studio users must follow safety, capacity and operational instructions. Damage, excessive cleaning, overtime or unapproved activities may result in additional charges.

9. Drone and location operations

Drone flights depend on weather, airspace, permissions, site conditions, safety assessment and applicable rules. A requested aerial shot may be changed or cancelled where the pilot determines that safe or lawful flight is not possible.

Clients are responsible for disclosing sensitive locations, crowds, restricted areas and site rules during planning.

10. Intellectual property and portfolio use

Client-owned source materials remain the client’s property. Ownership or licence rights in commissioned deliverables will be governed by the applicable agreement and may depend on full payment.

Praxis retains ownership of its website, branding, templates, methods, training materials, pre-existing assets and proprietary tools. They may not be copied, resold or modified without permission.

Unless confidentiality or portfolio restrictions are agreed in writing, Praxis may display completed public-facing work for portfolio, award, promotional and educational purposes.

11. Website and third-party services

We make reasonable efforts to keep the website accurate and available but do not guarantee uninterrupted, secure or error-free operation. Links, embedded media, maps, scheduling tools and other third-party services are governed by their providers.

Website content is general information and may be updated without notice. You should confirm current pricing, availability and specifications directly with Praxis.

12. Liability and indemnity

To the fullest extent permitted by applicable law, Praxis Media & Technology Limited will not be liable for indirect, incidental, special, consequential or punitive losses, including lost profits, opportunities, data or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded.

You agree to indemnify Praxis and its personnel against third-party claims arising from materials, instructions or activities supplied or authorized by you, or from your breach of these Terms.

13. Governing law and changes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties should first attempt to resolve disputes through good-faith discussion before pursuing available legal remedies.

We may update these Terms to reflect changes to services, operations or law. The revision date below identifies the current version. Continued website use after publication constitutes acceptance of the updated website terms.
